Owning a company in Hungary without living there: this is basically possible. However, those who turn it into a ready-made answer to all tax questions leave out the crucial part. I think this reduction is the real mistake. The establishment of a company, its ongoing operation and the place of its actual place of management are three separate audits.

Citizens of the EU can in principle set up a company in Hungary without moving their private residence there. The specific legal form, personal requirements and Hungarian registration obligations remain to be examined. A foreign residence does not replace a registered office. And a Hungarian company address does not automatically move the place of management to Hungary.

What makes European Freedom of Establishment possible

The Official Portal Your Europe for starting a company describes the right of EU citizens to set up a business in other Member States. This also includes various forms of business establishment. The conditions for the specific project are also determined by national rules.

For this contribution, this means: It is about citizens of the EU and a company in Hungary. This does not result in a blanket commitment for every nationality, every European country and every regulated activity. The choice between an own company, a participation in an existing company or another form of establishment is also part of the preparation.

Participation alone does not answer a residence question. Those who actually live or work in Hungary later have to consider the relevant rules separately. The decision about a move and the decision about a company should therefore be based on their own foundations.

Without private residence does not mean without delivery

The Hungarian Law V of 2006 explicitly considers foreign natural persons without Hungarian residence in the register procedure. Section 31(2) requires in principle the appointment of a service representative for this constellation. § 7 regulates the registered office and its function for business accessibility. The details are in Hungarian company register law.

This regulation shows why two addresses must be kept apart: The private residence concerns the person. The registered office belongs to the company. A service officer is in turn a separate function. It does not replace management or accounting.

I would therefore like to make it clear before signing: who receives which letters? Who translates them when needed? Who recognizes a deadline and forwards the document? Who confirms the entrance? A postal address is only practically usable if this process works. The Hungarian lawyer examines the legal structure and the permissible filling of the roles.

Partners and managing directors are different roles

Who holds shares is not only therefore the person who leads the company on a daily basis. Conversely, a registered managing director is not sufficient as an explanation for where the management actually takes place. I therefore separate property, decision-making powers and daily work first.

For a company with a partner living abroad, different actual processes may be provided: Operational management may be exercised on site. The shareholder may limit himself to his ownership role. Or the same person takes over property and daily management from their state of residence. These options each require their own legal and tax assessment.

The organizational question is: Who can make which decision themselves and does that? A name in the contract does not fully answer this question. Representation powers, bank access and real working life must go hand in hand. The overall framework for the Preparation of company formation Therefore, begins before the choice of a founding package.

The ongoing operation needs its own plan

The Hungarian tax authority NAV explains that in the case of companies subject to registration, tax registration is linked to the registration procedure. Their Information on the registration of taxable persons provide further information and communications. The registration is thus a starting point for the organization of the company.

Before the first transaction, invoicing, delivery of documents, accounting and access to public authorities should be clarified. Which tax declarations, notifications and, where applicable, approvals are necessary depends on activity and legal form. This is checked by the competent specialist advice. Even a low-turnover start is not a viable reason to postpone this test.

My practical scale is simple: Every recurring process requires a responsible person, a representative and a traceable handover route. At spatial distance, this becomes especially important. Those who are only looking for a lack of access to responsibilities have an avoidable organizational problem.

Where company is actually run

For a relationship with Germany Section 10 Tax Code an important basis: place of management is the center of business overhead management. Section 1 Corporate Tax Act links to place of management or domicile in Germany in the bodies referred to therein. Whether and how a Hungarian company falls under this is part of a specific tax audit.

A company founded in Hungary can therefore trigger German tax issues if it is actually run from Germany. The company address alone does not provide an all-clear. Similarly, the private residence of the shareholder alone would be too little to determine the entire tax classification of the company.

In addition, the Hungarian rules, an applicable double taxation agreement and possible permanent establishments must be assessed. An agreement does not replace an inventory. For a state of residence outside Germany, its own rules apply. A German assessment cannot simply be transferred to Austria or another state.

My decision-making process before a foundation without moving

As a practical work aid, I would bundle the preparation into five questions. The answers are intended to describe facts, not to anticipate a desired tax effect.

  1. What role should I play? Just participation, daily management or both? This decision determines what further questions are pending.
  2. What is actually happening in Hungary? Specifically describe activities, spaces, participants and decision-making processes. A planned function needs an implementable organization.
  3. What remains in the state of residence? Completely capture own work, contract negotiations, staff and regular management tasks.
  4. Who keeps the operation accessible? Determine delivery, accounting, bank and digital access with responsible persons and representatives.
  5. Which technical examination is still missing? Have the information examined together with the advisers of the States concerned before contracts and ongoing obligations arise.

If one answer remains open, that is a concrete task. Then, for example, a reliable distribution of tasks or a tax classification of the intended place of work is missing. A fast register entry does not solve these open points. The Methodology for preparing a structure helps to put such dependencies in a meaningful order.

What I coordinate and what specialist advice remains

I am Norbert Péterentrepreneur and neither lawyer nor tax consultant. My task is to prepare: to bring together information in a comprehensible way, clarify responsibilities and organise implementation. For a concrete Hungarian foundation reference can HUNCONSULT be a contact person. Legal and tax assessments are carried out by the respective licensed professionals.

My conclusion remains clear: A private move to Hungary is not a blanket requirement for a company there. However, those who start without moving need an equally clear plan for who runs company, how it works and which states are affected by taxation. Exactly this separation belongs before the foundation.
