Firma in Ungarn gründen und typische Fehler vermeiden

In brief: A Hungarian company is easy to describe, but that does not mean its formation is well prepared. Before it is established, its activities, shareholders, management, address, banking, bookkeeping and connections to other countries need to fit together. For implementation in Hungary, The Budapester works with HUNCONSULT and the appropriately authorised Hungarian professionals.

A Hungarian company does not start with a tax rate

Searching online for company formation in Hungary quickly brings up advertisements for low taxes, rapid incorporation and supposedly simple all-inclusive packages. That sounds attractive but leaves the most important question unanswered: what will the company actually do?

A shop in Hungary, a software business with international clients, trading, consultancy and a subsidiary within an existing group need different processes. It is equally important to establish where the managing director lives, works and makes the key decisions. The relevant legal and tax professionals need to assess these points before formation.

What to clarify before forming the company

  1. Activities and customers: What will be sold, where will services be provided, and which countries will customers come from?
  2. Shareholders and management: Who will hold the shares, who will make decisions, and who will be available day to day?
  3. Registered office and actual operations: An address alone does not create a functioning business.
  4. Contracts and powers of attorney: Who will sign documents with banks, authorities, suppliers and employees?
  5. Bookkeeping and supporting documents: Who will receive which documents, in what language and by which deadline?
  6. Banking and payments: The bank account should not first become an issue when the first invoice needs to be paid.
  7. Connections to Germany or other countries: Existing companies, residence, effective management and the provision of services between entities need professional assessment.

Registration is only the beginning

The Hungarian National Tax and Customs Administration, NAV, states that taxable activities must be registered before they begin. For companies subject to registration, tax registration is generally initiated in connection with the application to the company registration court. Further reporting obligations can follow, for example concerning actual business activities, representatives, owners or the location where records are kept.

For the entrepreneur, this means that the incorporation documents and registration number are not the finished result. The company must then be able to issue invoices, process supporting documents, meet deadlines and deal effectively with the bank, bookkeeping team and authorities.

Why ongoing bookkeeping matters

A common misconception is that an inactive bank account means there is nothing to do. A company can have ongoing obligations even without revenue. Missing documents, unreported changes and uncoordinated bookkeeping often come to light only after queries, charges or deadlines have already arisen.

The Budapester has seen founders receive unexpected invoices for services they had not agreed to after an inexpensive setup, while reliable bookkeeping was also missing. The scope of services, responsibilities and ongoing costs are therefore clearly documented before implementation.

Common problems with a company in Hungary

  • The company is formed for a single tax advantage without assessing the overall structure.
  • The founder does not understand the Hungarian documents and receives no clear explanation.
  • The lawyer, bookkeeping team, bank and registered-office provider work alongside one another rather than together.
  • The actual business activities differ from those originally planned.
  • Changes to the address, management or shareholders are not communicated in time.
  • The contractual and tax arrangements connecting the business to a German or Austrian company have not been properly prepared.
  • The managing director is unavailable day to day or lacks the necessary access to banking and official systems.

German and Hungarian without losing the meaning

Norbert Péter was born in Budapest and has lived in Germany since childhood. He speaks German and Hungarian and understands not only the terminology but also the different expectations on both sides. This is particularly valuable when a German entrepreneur forms a company in Hungary or a Hungarian entrepreneur wants to establish a company in Germany.

Hungarian company formations and the practical processes that follow are coordinated through HUNCONSULT. Appropriately authorised professionals carry out the necessary legal and tax assessments. The Budapester coordinates the information, people and appointments.

The steps in a well-prepared company formation

  1. Business objective: The intended activities and connections to existing businesses are described.
  2. Feasibility and professional assessment: Outstanding legal, tax, permit and residence questions are referred to the relevant professionals.
  3. Formation documents: Names, roles, powers of attorney, translations and appointments are prepared.
  4. Registration, tax and banking: The necessary steps are arranged in a workable sequence.
  5. Ongoing operations: Bookkeeping, document handling, invoicing and points of contact are put in place.

When a Hungarian company can make sense

Hungary can be a suitable location where there are genuine activities, a market, staff, partners, assets or a clear function within a group of companies. A company should not be formed solely because an advertisement quotes a tax rate. Whether a Hungarian company suits someone’s personal circumstances legally, fiscally and commercially needs to be assessed individually.

If you first want to clarify the choice of country and structure, the Form a Company page explains the broader service. During the Structure Check, The Budapester can review the current situation and identify the next professional assessments needed.
